Any proposal or quotation provided by Marcks IT Services is usually based on the information provided by you at that time and is valid for a limited duration (as mentioned in the proposal).

• Prices are typically quoted in INR (₹), unless specified otherwise.
• Changes in requirements or additional features may result in revised estimates and costs.
• We reserve the right to correct any typographical or calculation errors in proposals or invoices.

No work will commence until you provide written confirmation/approval of the quotation or proposal and any agreed initial payment or advance.

5. Client Responsibilities

To enable us to deliver the project or service effectively, you agree to:

• Provide accurate, complete, and timely information, content, and feedback.
• Supply any required text, images, logos, and brand assets (unless agreed otherwise).
• Ensure you have the legal right to use any materials you supply (e.g., images, fonts, content).
• Respond to queries and approvals within reasonable timelines to avoid project delays.

Delays in feedback, content submission, or approvals may affect delivery timelines and could potentially result in additional charges.

6. Intellectual Property

Unless otherwise agreed in writing:

• All custom design, code, and deliverables created by Marcks IT Services remain our intellectual property until full payment is received.
• Upon full payment, we may grant you a non-exclusive, non-transferable license to use the deliverables for your business purposes.
• We reserve the right to showcase completed projects or parts of the work in our portfolio, marketing materials, or case studies, unless you explicitly request confidentiality in writing.

Any third-party components (for example, stock images, fonts, plugins, APIs, libraries) are subject to their own licenses and terms, which you agree to comply with.

7. Confidentiality

We treat your business information, ideas, source code, and data as confidential and will not share them with any third party except:

• Where required to do so by law, or
• Where third-party vendors or subcontractors need limited access to fulfill project objectives, and they are bound by confidentiality obligations.

8. Payments, Invoices & Refunds

Payment terms will be outlined in the project proposal or invoice. Typical arrangements may include:

• An advance payment to start the project.
• Milestone-based payments linked to phases of delivery.
• Final payment upon completion or before deployment/transfer.

All invoices are payable within the timeline specified on the invoice (for example, 7 or 15 days from the date of issue), unless otherwise agreed in writing.

Unless explicitly mentioned, fees paid are generally non-refundable once work has commenced, as time and resources are allocated to your project.

9. Warranties & Limitations

While we aim to deliver high-quality, reliable solutions, you acknowledge and agree that:

• No digital system can be guaranteed 100% error-free or secure.
• Performance may depend on third-party services (hosting providers, domain registrars, APIs, etc.) that we do not control.

We provide a limited support or warranty period (if specified in the proposal) to fix any bugs directly related to our work. Issues arising from unauthorized changes, third-party interference, or misuse are not covered under this warranty.

10. Limitation of Liability

To the maximum extent permitted by law, Marcks IT Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, arising out of or in connection with:

• Your use or inability to use the website or services.
• Any delays, errors, or interruptions caused by third-party services.
• Any unauthorised access to or alteration of your data by third parties.

Our total aggregate liability for any claim under these Terms shall be limited to the total amount actually paid by you to Marcks IT Services for the specific service giving rise to the claim.

11. Termination

Either party may terminate a project or service engagement with reasonable written notice, subject to the terms stated in the project agreement or proposal.

• Upon termination, you agree to pay for all work completed up to the effective date of termination.
• Any advance or milestone payments already received may be adjusted against completed work.

We reserve the right to suspend or terminate access to our services or ongoing work if invoices are overdue, if there is misuse of our services, or if you breach these Terms.

12. Governing Law & Dispute Resolution

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall, as far as possible, be resolved amicably between the parties.

Where an amicable resolution is not possible, the matter may be referred to the appropriate courts having jurisdiction over the city/region in which Marcks IT Services operates.
